VShell End-User Licence Agreement

Please read this before you install or use VShell. By installing or using VShell you agree to this licence. If you do not agree, do not install or use VShell.

1. Who we are

VShell is made by VAI SoftLab ([full legal name, company number, address]), called "we" or "us" here. "You" means the person who installs or uses VShell. If you use VShell for an organisation, you agree for that organisation too, and you confirm that you are allowed to do so.

2. What this licence covers

This licence covers the VShell app for Mac, its install command, its updates, and the files that come with them ("VShell"). It does not cover the parts listed in section 8 (open source parts) or the AI tools in section 6.

3. What you may do

We give you a free, personal, non-exclusive, non-transferable licence that we may end (section 12), to:

4. What you may not do

You may not, and you may not help anyone else to:

  1. copy VShell, except the copies made by installing and updating it and one backup copy for your own use;
  2. share, publish, sell, rent, lend, sub-licence or give VShell to anyone else, or offer it as a service to others; share the official install command or the link to our website instead;
  3. reverse engineer, decompile, disassemble or unpack VShell, or try to rebuild its source code, except where the law says you may and this cannot be excluded by agreement;
  4. change VShell, combine it with other software into a new product, or make works based on it;
  5. remove, avoid or switch off the login check, the licence screen, the update check, the signature check or any other protection in VShell;
  6. remove or change any notice of ownership, licence or brand;
  7. use VShell or anything learned from its inner workings to build a product that competes with it;
  8. use VShell against the law, or to harm, attack or access without permission any computer, account or service.

5. Your account

You need a free VShell account to use the app. You agree to:

The app checks your account with our website about once a day. If it cannot reach our website, it keeps working for 7 days, then asks you to log in again. We may stop or block an account that breaks this licence.

6. AI tools and what agents do

VShell helps you run AI tools such as Claude Code, Codex and Cursor on your own Mac. You install those tools yourself, with your own accounts.

7. Your data

VShell runs on your own Mac. Your projects, files, team files, prompts, AI logins and voice stay on your Mac. Voice is turned into text and back on your Mac; it is not sent to us.

We keep only what we need to run your account: your email address, your name and picture if you log in with Google or GitHub, when you signed up, and the daily app check (app version, macOS version, time and network address). Our privacy notice at [https://vshell.vaisoftlab.com/privacy] says how we keep, use and delete it. You can delete your account at any time.

8. Open source parts

VShell includes open source software, such as Electron, Node.js, whisper.cpp, the Whisper and Kokoro voice models and their programs. Each of them is covered by its own licence, not by this one, and nothing here limits your rights under those licences. The full list and licence texts are in the app (menu: Licence) and on our website.

9. Ownership

VShell, its code, design, name and logo are owned by VAI SoftLab (or by people who licensed them to us) and are protected by law. You get only the rights written in section 3. We keep all other rights.

If you send us ideas or feedback, we may use them freely, without paying you or naming you.

VShell is given to you "as is" and "as available", free of charge. To the fullest extent the law allows, we give no promise of any kind, said or implied, including that VShell will work without errors or stops, will be fit for a particular purpose, or will keep your data safe. Keep your own backups of your work.

Some laws (for example the Australian Consumer Law) give you rights that cannot be excluded. Nothing in this licence takes those rights away. Where we are allowed to limit them, our duty is limited to supplying the service again or paying the cost of supplying it again.
